This Agreement governs the use of the Empathy-Equity-Empowerment as a Service (EEEaaS) platform and its associated solutions, including but not limited to analytics, application infrastructure, business applications, blockchain integration, and compliance tools (collectively, "Services"). By purchasing or accessing the Services through the Microsoft Azure Marketplace, you agree to these Terms and Conditions.
1. Definitions
1.1 "Provider" refers to Triple A Family Holdings LLC, the provider of the EEEaaS platform.
1.2 "User" refers to the individual or entity accessing or using the Services.
1.3 "Services" include:
- Analytics tools for business intelligence.
- Application infrastructure services for cloud-hosted apps.
- Blockchain integrations and tokenized systems.
- Compliance and regulatory reporting tools.
2. Scope of Services
2.1 Analytics and Insights:
The Services include AI-powered analytics tools to optimize operational efficiency and provide actionable business insights.
2.2 Application Infrastructure:
The Services provide application hosting and infrastructure tools on Microsoft Azure, including APIs for seamless integration.
2.3 Blockchain and Tokenization:
The Services integrate blockchain solutions for secure data storage, tokenized rewards (e.g., FintBux, CannaBux), and transaction tracking.
2.4 Compliance Tools:
The Services include solutions to assist in regulatory compliance, including GDPR, CCPA, and industry-specific standards.
3. User Responsibilities
3.1 Account Setup:
The User must provide accurate and up-to-date information during account creation.
3.2 Compliance with Laws:
The User agrees to use the Services in compliance with all applicable laws, including data privacy regulations.
3.3 Usage Restrictions:
The User shall not:
- Use the Services for illegal or unauthorized purposes.
- Reverse engineer or attempt to extract source code from the Services.
- Misuse or distribute tokens (e.g., FintBux, CannaBux) beyond their intended purpose.
4. Payment Terms
4.1 Pricing:
The Services are available as a transactable offer on the Microsoft Marketplace. Fees are outlined on the Marketplace listing and may include:
- Subscription fees for ongoing services.
- One-time fees for consulting or deployment support.
4.2 Payment:
All payments are processed through Microsoft Azure's billing system. Users are responsible for ensuring valid payment methods are linked to their Azure subscription.
4.3 Refund Policy:
Refunds are governed by Microsoft's Marketplace policies. Contact Microsoft support for any refund requests.
5. Intellectual Property
5.1 Ownership:
All intellectual property rights in the EEEaaS platform, including but not limited to the underlying software, analytics models, and blockchain integrations, remain the property of Triple A Family Holdings LLC.
5.2 User Data:
Users retain ownership of their data. By using the Services, the User grants the Provider a non-exclusive, royalty-free license to process data for the purpose of delivering the Services, improving functionality, troubleshooting issues, and enhancing analytics features.
6. Data Privacy and Security
6.1 Data Processing:
The Provider will process User data in compliance with applicable data protection laws, including GDPR and CCPA.
6.2 Blockchain Transparency:
Blockchain-related features store transaction records on decentralized ledgers. The User acknowledges that blockchain data may be immutable and publicly visible.
6.3 Security Measures:
The Provider implements industry-standard security measures to protect User data. However, the Provider is not liable for breaches resulting from third-party vulnerabilities.
7. Limitation of Liability
7.1 No Warranties:
The Services are provided "as is" without any warranties, express or implied, including fitness for a particular purpose.
7.2 Liability Cap:
The Provider's total liability for damages arising from the use of the Services shall not exceed the total amount paid by the User for the Services in the preceding 12 months.
8. Termination
8.1 Termination by User:
Users may terminate their subscription at any time through the Microsoft Azure Marketplace.
8.2 Termination by Provider:
The Provider reserves the right to terminate access to the Services for breach of these Terms or misuse of the platform.
8.3 Effect of Termination:
Upon termination, the User’s access to the Services will cease, and any unused tokens or prepaid fees will be forfeited unless otherwise stated in the refund policy. User data may be retained for compliance purposes for up to 12 months following termination unless otherwise requested.
9. Governing Law
This Agreement is governed by the laws of the United States of America/New York, excluding its conflicts of law principles.
10. Dispute Resolution
10.1 Negotiation:
The parties agree to attempt to resolve disputes through good-faith negotiation.
10.2 Arbitration:
If disputes cannot be resolved amicably, they shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in New York, and the decision shall be final and binding. Each party will bear its own costs unless otherwise determined by the arbitrator.
11. Updates to Terms
The Provider reserves the right to update these Terms at any time. Users will be notified of material changes via email or through the Microsoft Marketplace.
